1. Acceptance of Terms
By accessing or using the services provided by RPA-automate ("Company", "we", "us", or "our") through our website at rpa-automate.com or any related platforms, you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you may not access or use our services. We reserve the right to update or modify these terms at any time, and your continued use of our services following any changes constitutes acceptance of those changes.
2. Services
RPA Automate provides robotic process automation consulting, implementation, and managed services, including but not limited to process assessment, automation architecture design, bot development, deployment, monitoring, and ongoing support. The specific scope, deliverables, and timelines for any engagement will be defined in a separate Statement of Work or service agreement between you and RPA Automate.
3. User Obligations
You agree to use our services only for lawful purposes and in accordance with these terms. You are responsible for maintaining the confidentiality of any account credentials provided to you. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of our services without express written permission. You must provide accurate and complete information when creating an account or engaging our services, and you agree to update such information as necessary to keep it current.
4. Intellectual Property
All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, icons, software, automation frameworks, and proprietary methodologies, are the exclusive property of RPA-automate or its licensors and are protected by copyright, trademark, and other intellectual property laws. Unless otherwise agreed upon in a signed Statement of Work, any custom automation solutions developed for you during an engagement are licensed for your internal use only and may not be redistributed or resold.
5. Limitation of Liability
To the fullest extent permitted by applicable law, RPA-automate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services. In no event shall our aggregate liability exceed the total amount paid by you to RPA-automate during the twelve (12) months preceding the event giving rise to the claim.
6. Termination
We may terminate or suspend your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use the services will cease immediately. Any provisions of these terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability. You may terminate your use of our services at any time by ceasing all access and notifying us in writing.
7. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in Toronto, Ontario, and you consent to the personal jurisdiction and venue of such courts.
